Terms of Service

Effective date: June 29, 2025

Note: This document is a working draft. Please have qualified legal counsel review it before it is treated as a binding agreement.

These Terms of Service (“Terms”) govern your access to and use of the 1CareCircle platform, website, and related services (collectively, the “Service”) provided by 1CareCircle Care, Inc. (“1CareCircle,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old to use the Service. By using 1CareCircle, you represent that you are of legal age and have the authority to agree to these Terms. If you are using the Service on behalf of an organization (a senior living community, care provider company, etc.), you represent that you have the authority to bind that organization to these Terms.

2. Accounts and Access

Access to 1CareCircle is by invitation only. Accounts are created when a guardian sends an invite link to a family member, or when 1CareCircle staff provisions access for a community or provider organization.

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You may not share your account with others or allow others to use your login credentials.
  • You must notify us immediately at hello@1carecircle.com if you suspect unauthorized access to your account.

3. Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable law.
  • Access care recipient information for any purpose other than supporting that person's care.
  • Share, distribute, or disclose protected health information obtained through the Service in violation of HIPAA or other applicable privacy laws.
  • Attempt to reverse-engineer, decompile, or otherwise gain unauthorized access to the platform's source code or infrastructure.
  • Use automated tools (bots, scrapers, crawlers) to access or collect data from the Service.
  • Interfere with or disrupt the integrity or performance of the Service or the data it contains.

4. Care Coordination — Important Limitations

1CareCircle is a care coordination and communication platform. It is not a medical device, does not provide medical advice, and does not replace the professional judgment of licensed healthcare providers. Specifically:

  • Wellness signals and check-in notes entered through the platform are for coordination purposes only and should not be treated as clinical assessments.
  • Service requests made through 1CareCircle are subject to acceptance and scheduling by the care provider. 1CareCircle does not guarantee service availability.
  • In any medical emergency, call 911 or your local emergency number. Do not use 1CareCircle as a channel for emergency communications.

5. Guardian Permissions and Access Control

The primary guardian on a care recipient's account controls which circle members have access to what information. 1CareCircle enforces these permissions technically, but guardians bear responsibility for ensuring that access grants are appropriate and authorized.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

7. Intellectual Property

The Service, including all software, design, text, graphics, and trademarks, is owned by 1CareCircle Care, Inc. and protected by copyright and other intellectual property laws. These Terms do not grant you any ownership interest in the Service.

You retain ownership of any content you submit to the Service (notes, messages, requests). By submitting content, you grant 1CareCircle a limited, non-exclusive license to store and display that content for the purpose of providing the Service.

8. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service.

Upon termination, your right to use the Service ceases immediately. We will handle your data in accordance with our Privacy Policy and applicable law.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LANTERN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LANTERN CARE, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Maryland.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the effective date above and, for registered users, by sending an email notification. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.
